Terms of service.
These terms apply when an organisation uses Triage Engine, during a pilot or after it. Anything we agree with you in writing, such as an order form, proposal or email setting out price and scope, sits alongside them and wins if the two differ.
1. Who we are
Triage Engine is provided by AgendaX, based in Lagos, Nigeria. "You" means the organisation using the service and the people it gives accounts to.
2. What the service does
- Triage Engine reads publicly available news, forums and videos for mentions of the companies and topics we agree with you, scores reputational risk, alerts the contacts you choose, and prepares draft responses.
- The risk score is a triage aid based on rules we publish on your board. It is not a prediction, a guarantee or professional advice, and it can miss things: sources change, block access or go offline.
- Draft statements are suggestions. An AgendaX person reviews a draft before sharing it with you, and you decide whether, where and when anything is published. We never publish on your behalf from Triage Engine.
3. The pilot
- The pilot's length, price and what's included are agreed with you in writing before it starts.
- Either of us can end the pilot, or the service after it, with 14 days' written notice. It only renews or continues past the agreed period if we both agree in writing.
- We may change or improve features during the pilot. We'll tell you before removing anything you rely on.
4. Your part
- Give each person their own account, keep passwords private, and tell us promptly if you think an account has been misused.
- Use the service lawfully. Don't use it to harass, profile or target private individuals.
- Check facts with your own teams before publishing anything, and replace placeholders such as [time] and [care channel].
- Make sure you're allowed to give us the alert contacts and other details you share with us.
5. Our part
- Provide the service with reasonable skill and care, and keep it secure as described on our security page.
- Keep your information confidential and use it only to provide the service to you.
- Tell you if the service is going to be unavailable for a planned period. We aim to keep it running, but can't promise it will never be interrupted.
6. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for the service, and share it only with people who need it and are bound to keep it confidential. This doesn't cover information that is public, already known, or that the law requires us to disclose.
7. How we process personal data for you
For the personal data you give us to run your account, such as your team's sign-in details and your alert contacts, you are the controller and we process it on your behalf. These commitments form our written agreement under section 29 of the Nigeria Data Protection Act 2023:
- We process it only to provide the service and on your documented instructions, which include these terms and your settings in the service.
- Everyone at AgendaX who can access it is bound to keep it confidential.
- We protect it with the measures on our security page.
- We use these sub-processors: Render (hosting), Supabase (database), GitHub (encrypted backups), Resend (email delivery), Zoho (our inbox) and Google (Gemini, which receives public headlines only). We'll tell you before adding or replacing one, so you can object.
- We'll help you respond to requests from people using their rights, and with any assessment you need to do.
- We'll tell you without undue delay after becoming aware of a breach affecting your data, with the details you need to meet your own duties.
- When the service ends, we'll delete your account data, or return it first if you ask, unless the law requires us to keep it. Encrypted backups that include it expire within 35 days.
- We'll give you the information you reasonably need to check we're meeting these commitments.

8. Ownership
You own your information and the statements you publish, including ones that started as our drafts. We own Triage Engine and its software, and you may use it while your account is active. Headlines and links on your board belong to their publishers; we show short extracts so you can see what's being said.
9. Liability
Neither of us is liable to the other for indirect or consequential losses, such as lost profits or reputation, arising from the service. Our total liability in connection with the service is limited to the fees you paid us in the three months before the claim arose. Nothing in these terms limits liability that the law does not allow to be limited.
10. Changes and governing law
We may update these terms. If a change affects you materially, we'll tell you at least 14 days before it applies. These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction.
